– UK, London – Thomas Cook Group plc  announces that Carl Symon and Warren Tucker will join the Board as Independent Non-Executive Directors with effect from 3 October 2013.

Carl will become the Senior Independent Director and Warren will become the Chairman of the Remuneration Committee following the Company’s AGM in February 2014, when Roger Burnell will retire from the Board.

Carl has extensive global business operations and management experience, having retired in 2001 from IBM after a long career, during which he held various senior positions, both globally and as Chairman and Chief Executive Officer of IBM UK. He is currently a non-executive Director of BAE Systems plc. His former positions include non-executive Director of BT Group plc, Rolls-Royce Group plc and Rexam plc and Chairman of HMV Group plc.

Warren has significant experience in international business and strategic transformations. He was, from 2003 until May 2013, Chief Financial Officer of Cobham plc. He has been a non-executive Director of Reckitt Benckiser Group plc since February 2010.

Frank Meysman, the Company’s Chairman said: “Following the successful completion of our £1.6 billion capital refinancing this summer and the ongoing progress we are making with our business transformation, we are pleased to be able to attract two further high calibre Non-Executive Directors to join our Board.
Carl and Warren have technology and finance backgrounds and bring a wealth of international listed company experience. Both currently serve as NEDs on the Boards of UK FTSE 40 companies.

I would also like to thank Roger Burnell for his support and contribution over the years, particularly on the development of our improved remuneration policy and engagement with shareholders, as we drive our pay for performance culture. Whilst Roger will continue to serve until the AGM I, and my colleagues on the Board, wish him well for the future.”

Carl Symon said: “I am delighted to be joining the Board at an exciting time for the Company. A huge amount of progress has been made transforming the business and I am pleased to be able to support the continued success of such an iconic brand.”

Warren Tucker said: “I am attracted by the considerable progress made by the strong management team and the significant potential for the future. I very much look forward to working with the Board to support the Company as it continues to execute its strategic transformation.”
