– UK, London – FDM Group Holdings plc (LON:FDM), a global professional services provider with a focus on Information Technology, today announced the appointment of David Lister as Non-Executive Chairman with effect from 5 March 2019.
David Lister will succeed Ivan Martin who will retire from the Board on 5 March 2019. Ivan has served as Non-Executive Chairman of FDM Group since October 2006. The Company announced Ivan Martin’s intention to retire from the Board in March 2018.
Rod Flavell, CEO, said, “Ivan Martin has steered FDM Group through its first years as a plc, a period which has seen significant change and strong performance, including the Company’s promotion into the FTSE 250 in June 2017. I thank Ivan personally and on behalf of the Board for his wisdom, commitment and leadership during his 12 years on the Board. We wish him all the best for the future. David Lister has already made a significant contribution to the work of the Board as a Non-Executive Director and I look forward to working with him more closely as we continue to create and inspire exciting careers that shape our digital future.”
David Lister joined the Board of FDM Group in March 2016 as an independent Non-Executive Director, and has been appointed as Chairman following a thorough selection process led by the Nomination Committee which involved consideration of internal and external candidates, with assistance from a search consultancy. David is independent on appointment.
With effect from 5 March 2019, David Lister will also succeed Ivan Martin as Chairman of the Nomination Committee. He will step down as a member of the Audit Committee and the Remuneration Committee.
David brings a wealth of relevant board and IT experience after more than 39 years of working in Technology and Operations roles across multiple industries for international businesses such as Diageo, GlaxoSmithKline, Boots, Reuters, Royal Bank of Scotland and National Grid. He also has experience in the Professional Services sector where he was a management consultant at PwC. David has an in-depth knowledge of FDM Group’s business both as a former customer and from his work as a Non-Executive Director on the Board over the last three years. He has recently been a trustee of The Tech Partnership, focussing on the skills and diversity challenges of the UK technology sector. David is currently the chairman of HSBC Private Bank (UK) Limited, and is a non-executive director of HSBC UK Bank plc, Nuffield Health and InterXion Holding N.V, a leading provider of colocation data centre services in Europe.
A search for a new Non-Executive Director is underway and a further announcement will be made in due course.
David Lister said, “I’m delighted to succeed Ivan Martin as Chairman. FDM Group is a young, dynamic and exciting business with a proven track-record in promoting diversity, inclusion and social mobility in its organisation, as well as a real commitment to making a positive social impact through the ex-Forces and Getting Back to Business programmes, and its initiatives with schools, universities and charities. I look forward to working more closely with FDM Group’s excellent management team to further develop and implement our strategy for continued growth.”
Ivan Martin commented, “It’s been a privilege to be Chairman of FDM Group for the last 12 years, a period which has seen unabated growth in both revenue and profit for the Company. I feel that the time is right to hand over to a new chair who will guide the Company through the next phase of its development. I am pleased that we have someone of David’s calibre, experience and knowledge of the business to take on the role. I wish David and the rest of the Board every success for the future.”
